Soccer Manager believes that most of the answers to your questions are covered within our Help.

Based from the help section: "It is also worth noting that a player can refuse to sign for you if their rating is considerably higher than your squad average rating." Considering that the other team is in Division 3, it may be a lowly rated team. If you are signing a high-rated player and you are a high-rated team. It will sign for you.
